Last updated: 10 April 2025

1. Introduction

These terms of service ("Terms") govern your use of the services provided by StormNet Solutions ("we", "us", "our"). By engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services

StormNet Solutions provides managed IT support, VoIP telephony, Microsoft 365 deployment, CCTV installation, network cabling, WiFi installation, internet connectivity and residential IT support. The specific scope of work will be agreed in writing or via a service agreement before work begins.

3. Quotes and Pricing

All quotes are valid for 30 days from the date of issue unless otherwise stated. Prices are exclusive of VAT unless clearly marked otherwise. We reserve the right to adjust pricing with reasonable notice for ongoing service contracts.

4. Payment Terms

  • Invoices are due for payment within 14 days of the invoice date unless otherwise agreed.
  • For project work, we may require a deposit before commencing work.
  • Recurring managed service fees are billed monthly in advance.
  • We reserve the right to charge interest on overdue payments at the rate of 4% above the Bank of England base rate.

5. Client Responsibilities

You agree to:

  • Provide timely access to systems, premises and information required for us to deliver our services.
  • Maintain valid software licences for any software we manage on your behalf.
  • Keep your account credentials secure and notify us immediately of any unauthorised access.
  • Ensure that any data you provide to us is accurate and up to date.

6. Service Availability

We aim to provide reliable and responsive IT support during our standard business hours of Monday to Friday, 9:00am to 6:00pm. Emergency support outside these hours is available for clients on a managed support agreement. We do not guarantee uninterrupted service and are not liable for downtime caused by factors outside our reasonable control.

7. Limitation of Liability

  • Our liability for any claim arising from our services shall not exceed the total fees paid by you in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities.
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Warranties

We warrant that our services will be performed with reasonable skill and care. Except as expressly stated, all other warranties, whether express or implied, are excluded to the fullest extent permitted by law. We do not warrant that any third-party hardware, software or services will be free from defects or interruptions.

9. Intellectual Property

All intellectual property rights in any materials, documentation or tools we create remain the property of StormNet Solutions unless expressly agreed otherwise in writing. You retain ownership of your own data and content at all times.

10. Termination

  • Either party may terminate a managed service agreement by giving 30 days' written notice.
  • We may terminate services immediately if you breach these Terms and fail to remedy the breach within 14 days of written notice.
  • Upon termination, all outstanding fees become immediately due and payable.
  • We will provide reasonable assistance in transitioning your services to another provider upon request.

11. Force Majeure

Neither party shall be liable for any failure to perform obligations where such failure results from circumstances beyond reasonable control, including but not limited to natural disasters, power failures, internet outages, acts of government, pandemics or cyberattacks.

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the service relationship. This obligation survives the termination of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
